The aim of this paper is to provide students with a critical understanding of contemporary issues in corporate law. Each year subjects are selected for detailed analysis from a variety of topical heads which include directors' duties and liabilities; the utility of equitable remedies and restitution as a check and balance on directors' responsibilities; restitution in the public sector; sustainability and social responsibility in the context of corporate governance; and the impact of personal and corporate insolvency. These issues will be considered within the New Zealand context, and may encompass other common law jurisdictions such as Australia, Canada, and the United Kingdom.
